Terms of Service

Last updated: 16 October 2026

1. Who we are

1.1 These terms are between you (the "Client") and Loga Agency LLP ("Loga", "we", "us"), a limited liability partnership registered in England and Wales under number OC457591, with its registered office at 25 Bull Bridge Way, Chilmington Green, Ashford, Kent TN23 8AH. Contact: hello@logaagency.com.

1.2 Our services are for businesses only. By subscribing you confirm you are acting for a business, not as a consumer.

2. The service

2.1 We provide design and creative services on a monthly subscription. Your plan (Studio or Studio Pro) is shown on our website or in your proposal.

2.2 Requests. You can submit unlimited requests. We work on one active request at a time on Studio, and two on Studio Pro. Further requests wait in your queue.

2.3 Revisions. Active requests include unlimited revisions until you are happy, within the original brief. A new direction counts as a new request.

2.4 Turnaround. Most drafts are delivered within 24–48 business hours (24 on Studio Pro). Larger pieces get a timeline agreed up front. Turnaround times are estimates, not guarantees, and time is not of the essence.

2.5 Websites. Studio Pro includes website design in Figma and builds in Webflow. You are responsible for your Webflow plan, hosting and domain, and you own those accounts. We can make content updates to existing sites (including WordPress) as normal requests. We don't provide new WordPress builds, plugin or theme development, hosting, security or backups.

2.6 Not included: custom illustration at scale; complex web development such as apps, e-commerce back ends or custom integrations; printing, media spend and third-party costs; stock, font and music licences; and in-person photo or video shoots, which we quote separately (plus travel).

2.7 Fair use. One subscription covers one business. You may not resell our services to your own clients without our written agreement.

3. Your responsibilities

3.1 You'll give us clear briefs, timely feedback, and the materials, access and approvals we need.

3.2 You confirm you have the rights to anything you send us (logos, images, copy, data) and that we may use it to deliver the work.

3.3 You're responsible for checking final work before you use it, including legal and regulatory claims, and for having it professionally proofread where accuracy matters.

4. Fees and payment

4.1 Fees are charged monthly in advance from your start date, in the currency on your invoice. Prices exclude VAT, which we add where applicable.

4.2 We invoice each month and payment is due by bank transfer within 7 days of the invoice date.

4.3 If payment is late we may pause work until it is received, and we may charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.

4.4 We may change our prices with at least 30 days' written notice. Changes apply from your next billing period.

5. Pausing

5.1 You can pause your subscription anytime by emailing us. Billing stops and we bank your unused days in the current period. For example, pause on day 10 of a 30-day period and you keep 20 days.

5.2 Your banked days resume when you restart. A pause can last up to 3 months, after which your subscription cancels automatically and any banked days lapse.

6. Cancelling

6.1 You can cancel a monthly subscription anytime by email. Cancellation takes effect at the end of your current paid period and you won't be billed again.

6.2 Fees already paid are not refundable, including for part-months, unless we have failed to provide the service.

6.3 Annual subscriptions, if offered, need 30 days' written notice before renewal.

6.4 Either of us may end the agreement straight away by written notice if the other materially breaches it and doesn't fix the breach within 14 days of being asked, or becomes insolvent.

6.5 On ending, we'll deliver any finished, paid-for work. Clauses 7 to 11 continue after the agreement ends.

7. Ownership of work

7.1 Once the fees for the relevant period are paid in full, all intellectual property rights in the final deliverables we create for you, including their editable source files, transfer to you.

7.2 We keep ownership of our pre-existing materials, templates, frameworks, processes and know-how ("Loga Materials"). Where Loga Materials appear in a deliverable, you get a perpetual, worldwide, royalty-free licence to use them as part of that deliverable.

7.3 Drafts, concepts and options you don't choose remain ours unless you pay for them separately.

7.4 Third-party assets (such as stock images, fonts, music and Webflow templates) are subject to their own licences. You are responsible for any licence you need for your use.

7.5 Portfolio. We may show finished work in our portfolio, website and social channels unless you ask us not to in writing. We will never share work before your public launch or while it is under embargo.

8. Confidentiality

8.1 Each of us will keep the other's confidential information private and use it only to perform or receive the services. This includes unreleased brands and campaigns, strategy, pricing, client lists, and login details.

8.2 This does not apply to information that is already public through no fault of the receiving party, that was already known to it, that it develops independently, or that it must disclose by law.

8.3 We may share confidential information with the service providers listed in our Privacy Policy (including AI tools), who are bound by their own confidentiality and security terms, only as needed to deliver the services.

8.4 These obligations last during the subscription and for 2 years after it ends. Login details and trade secrets stay protected for as long as they remain confidential.

9. Data protection

9.1 Each of us will comply with UK data protection law (the UK GDPR and the Data Protection Act 2018). Where we process personal data on your behalf, we do so only on your instructions and as described in our Privacy Policy.

10. Liability

10.1 Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot legally be limited.

10.2 We are not liable for indirect or consequential loss, or for loss of profit, revenue, business or goodwill.

10.3 Our total liability under or in connection with these terms is limited to the greater of £500 and the fees you paid in the 12 months before the claim.

11. Non-solicitation

11.1 During the subscription and for 6 months after, neither of us will directly hire the other's staff or contractors who worked on the services without written agreement.

12. General

12.1 We may update these terms with 30 days' notice by email. The version in force when a billing period starts applies to that period.

12.2 Neither of us is liable for delays caused by events outside reasonable control.

12.3 These terms, plus any proposal we agree in writing, are the whole agreement between us.

12.4 Notices must be sent by email to the addresses we each use for the account.

12.5 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
